TERMS & CONDITIONS

1. ABOUT THESE TERMS
These Online Store Terms & Conditions (“Terms”) apply to your access to and purchases made through www.helenequan.com (“Website”).
The Website is operated by Helene International Pte. Ltd., a company registered in Singapore, trading under the brand Helene Quan (“HQ”, “we”, “us” or “our”).
By placing an order through the Website, you agree to:

these Terms;

our Delivery & Returns Policy;

our Warranty & After-Sales Policy;
-
our Privacy Policy; and
-
our Cookie Policy.
These documents form part of the agreement between you and HQ.
Nothing in these Terms excludes or limits any consumer right or remedy that cannot lawfully be excluded or limited.
2. ELIGIBILITY AND WEBSITE USE
You may place an order only if you are at least 18 years old and have legal capacity to enter into a binding contract under the laws applicable to you.
If the age of legal majority applicable to you is higher than 18, you must satisfy that higher age requirement before placing an order.
You must not use the Website:

for any unlawful, fraudulent or unauthorised purpose;

in violation of any law or regulation applicable to you;
-
by providing false, misleading or unauthorised information;
-
to infringe any intellectual property, privacy or other legal right;
-
to introduce viruses, malicious code or other harmful technology;
-
to interfere with or bypass the security or operation of the Website; or
-
to scrape, copy or systematically extract Website content without authorisation.
If you create an account, you are responsible for keeping your login information confidential and for activity carried out through your account.
HQ may restrict or suspend access to the Website where it reasonably believes that these Terms, applicable law, Website security or the rights of HQ or another person have been violated.
3. PRODUCTS AND AVAILABILITY
Products may be available exclusively through the Website and may be offered in limited quantities.
Displaying a product on the Website does not guarantee that the product remains available.
HQ may:

introduce, modify or discontinue products;
-
limit the quantity available for purchase;
-
limit sales to particular countries or regions;
-
refuse quantities that reasonably appear to be intended for unauthorised resale; or
-
withdraw a product before an order is accepted.
If a product, material or component becomes unavailable after an order has been accepted, HQ may offer a reasonable alternative. If no suitable alternative is agreed, HQ may cancel the affected product and refund the amount paid for it.
4. PRODUCT INFORMATION
HQ takes reasonable care to describe and display its products accurately.
Product photographs, videos, illustrations and renders are provided as visual references. Actual appearance may vary slightly because of:

lighting and photography;
-
screen and device settings;
-
production methods;
-
polishing and hand-finishing; and
-
the individual characteristics of jewellery materials.
Measurements, dimensions, metal weights, stone weights and carat weights may be approximate unless expressly stated otherwise.
Minor variations may occur in:
-
colour, tone and lustre;
-
polishing, texture and surface finish;
-
stone positioning or setting;
-
cultured pearls;
-
laboratory-grown diamonds and gemstones;
-
enamel and other decorative materials;
-
chain or component dimensions; and
-
hand-finished details.
Reasonable variations of this nature are normal characteristics of jewellery and do not, by themselves, constitute manufacturing defects.
Where a product is described as containing a laboratory-grown diamond or laboratory-grown gemstone, it is not represented as a naturally mined stone.
Cultured pearls and other materials may display individual variations in colour, shape, surface, lustre or texture.
Images are not intended to establish exact scale. You should review the product description, materials, dimensions and sizing information before placing an order.
The product description displayed on the relevant product page when you place your order forms part of the contract.
5. ORDERS AND CONTRACT FORMATION
Placing an order constitutes an offer by you to purchase the selected product in accordance with these Terms.
Before submitting an order, you are responsible for checking that:

the selected product is correct;
-
the selected size, colour and specifications are correct;
-
the billing and delivery information is accurate; and
-
the total price is acceptable.
An automated email confirming receipt of your order is an Order Acknowledgement only. It does not necessarily mean that HQ has accepted your order.
A binding contract is formed when:
-
payment has been successfully received or authorised; and
-
HQ sends an Order Confirmation expressly accepting the order.
HQ may decline or cancel an order before acceptance where reasonably necessary, including where:
-
payment cannot be authorised or verified;
-
incomplete or inaccurate information has been supplied;
-
fraud or unauthorised activity is suspected;
-
the product, material or component is unavailable;
-
there is an obvious pricing or product-information error;
-
the order appears to be intended for unauthorised resale;
-
delivery to the requested destination is unavailable or restricted;
-
sanctions, customs, export or other legal requirements prevent fulfilment; or
-
fulfilment is not reasonably possible because of circumstances outside HQ’s control.
If HQ cancels an order after payment has been received and the product has not been supplied, HQ will refund the amount paid for the cancelled product.
6. CHANGES TO ORDERS
You should contact HQ promptly if you wish to request a change to an order.
HQ will inform you whether the requested change is possible. Changes cannot be guaranteed after:
-
the order has been accepted;
-
production has started;
-
the product has been personalised or altered; or
-
the product has been dispatched.
A requested change may result in:
-
an additional charge;
-
a revised production period;
-
a revised delivery estimate; or
-
cancellation of the original order and placement of a new order, where permitted.
The customer is responsible for reasonable additional costs arising from incorrect information, specifications or instructions supplied by the customer.
7. MADE-TO-ORDER AND PERSONALISED PRODUCTS
A product is “Made-to-Order” where the relevant product page states that it will be produced, assembled, finished or sourced after the order is accepted rather than supplied from completed stock.
A Made-to-Order product may follow an existing HQ design and is not necessarily personalised or bespoke.
A “Personalised Product” includes a product that is engraved, altered, resized, specially configured or otherwise produced according to specifications selected or supplied by the customer.
Once payment has been received and HQ has issued the Order Confirmation:
-
production may begin;
-
the order cannot be cancelled solely because of a change of mind;
-
the product cannot be returned or exchanged solely because of personal preference; and
-
the customer remains responsible for the size, colour, engraving, specification or option selected.
Any cancellation, return or remedy relating to a Made-to-Order or Personalised Product is governed by the Delivery & Returns Policy and applicable law.
Production and delivery periods are estimates unless HQ expressly confirms a guaranteed date in writing.
8. PRICES AND PAYMENT
Prices are displayed in the currency shown on the Website.
Shipping charges and taxes collected directly by HQ will be shown at checkout where applicable.
Payment must be made using the payment methods offered at checkout.
By submitting payment information, you confirm that:
-
you are authorised to use the selected payment method;
-
the information provided is complete and accurate; and
-
sufficient funds or credit are available.
Payment transactions may be processed by independent payment providers. HQ may delay acceptance or fulfilment until payment and relevant security checks have been completed.
HQ may change product prices before an order is accepted. A price change will not affect an order already accepted, except where the displayed price was clearly and materially incorrect.
If an obvious pricing error is identified before acceptance, HQ may:

contact you and offer the product at the correct price; or
-
decline the order and refund any payment received.
9. INTERNATIONAL ORDERS, TAXES AND CUSTOMS
HQ accepts orders from selected international destinations.
For international deliveries, the recipient may be responsible for:
-
import duties;
-
customs charges;
-
local sales or consumption taxes;
-
brokerage or clearance fees; and
-
other charges imposed in the destination country,
unless the Website or checkout expressly states that such charges are included.
These charges are determined by local authorities and are outside HQ’s control.
You are responsible for:
-
checking whether the product may lawfully be imported;
-
complying with local import requirements;
-
supplying information requested by customs authorities or the courier;
-
paying charges imposed on the recipient; and
-
accepting delivery in accordance with local requirements.
If a shipment is refused, abandoned or returned because the recipient does not pay applicable charges, supply required information or accept delivery, the treatment of the order and any refund will be governed by the Delivery & Returns Policy.
10. DELIVERY, RETURNS AND EXCHANGES
Delivery methods, delivery charges, estimated timeframes, transfer of risk, inspection of parcels, failed delivery, damaged shipments, cancellations, returns and exchanges are governed by the Delivery & Returns Policy.
Please review that Policy before placing an order.
Except where required by applicable law or expressly permitted under the Delivery & Returns Policy, HQ does not accept cancellations, returns or exchanges solely because a customer:

changes their mind;
-
no longer wants the product;
-
prefers another product;
-
selected an incorrect size, colour or option;
-
made an ordering error; or
-
considers a reasonable jewellery variation unacceptable.
Nothing in this section limits rights relating to products that are defective, damaged, misdescribed or incorrectly supplied where those rights cannot lawfully be excluded.
11. WARRANTY AND AFTER-SALES SERVICES
The scope, duration, exclusions and claim procedure for HQ’s commercial warranty are governed exclusively by the Warranty & After-Sales Policy.
After-sales services, including repair, resizing, replating, component replacement or other work, are subject to that Policy.
The commercial warranty is additional to, and does not replace or restrict, any statutory right or remedy that cannot lawfully be excluded.
12. PROMOTIONS AND DISCOUNT CODES
Promotions and discount codes may be subject to additional conditions displayed at the time of the promotion.
Unless otherwise stated:
-
only one discount code may be used per order;
-
codes cannot be exchanged for cash;
-
codes must be used before their stated expiry date;
-
promotions are subject to product availability; and
-
HQ may withdraw or correct a promotion before an order is accepted where an error has occurred.
A promotion does not apply retrospectively to an order already accepted unless HQ expressly agrees otherwise.
13. INTELLECTUAL PROPERTY
All intellectual property rights in the Website and HQ materials belong to HQ or its licensors.
These materials include:

jewellery designs;
-
sketches and technical drawings;
-
CAD drawings and renders;
-
prototypes;
-
photographs and videos;
-
written content and artwork;
-
product and collection names;
-
logos, trade marks and brand identifiers;
-
graphics and packaging designs; and
-
Website layout and content.
Purchasing an HQ product does not transfer any intellectual property right in its design.
You may view and retain Website content for personal, non-commercial purposes.
You must not, without HQ’s prior written permission:
-
copy, reproduce or publish HQ content;
-
manufacture or commission products from HQ designs;
-
modify, distribute, sell or license HQ materials;
-
reverse engineer products or designs;
-
create moulds, CAD files, manufacturing files or commercial reproductions;
-
use HQ materials in connection with another business; or
-
use HQ content or designs as artificial-intelligence training material.
14. THIRD-PARTY SERVICES AND LINKS
The Website may use or contain links to independent third-party services, including payment providers, delivery providers, social-media platforms and external websites.
Independent third-party websites and services may be governed by their own terms and privacy policies.
HQ does not control and is not responsible for the independent content, availability, security or practices of external websites.
Nothing in this section excludes responsibility that applicable law places directly on HQ in relation to an order or service supplied by HQ.
15. LIABILITY
Nothing in these Terms excludes or limits any liability, consumer right or remedy that cannot lawfully be excluded or limited.
HQ is responsible for loss or damage that is a reasonably foreseeable result of HQ’s breach of contract or failure to exercise reasonable care, but is not responsible for loss or damage that was not reasonably foreseeable when the contract was formed.
To the extent permitted by law, HQ is not liable for loss caused by inaccurate information or instructions supplied by the customer, unauthorised alteration or third-party repair, or circumstances outside HQ’s reasonable control.
HQ supplies its products for personal and private use and is not responsible for business losses arising from unauthorised commercial or resale use.
Where liability may lawfully be limited, HQ’s total liability directly arising from a particular order will not exceed the amount paid for that order. This limit does not restrict any repair, replacement, price reduction or refund required by applicable law.
16. EVENTS OUTSIDE HQ’S CONTROL
HQ is not responsible for any delay or failure to perform caused by circumstances outside its reasonable control, including natural disasters or extreme weather, epidemics or public-health restrictions, war, civil disturbance or governmental action, customs or import restrictions, labour or transport disruption, cyber incidents, interruptions affecting payment or delivery providers, or material or supply-chain failures.
HQ will take reasonable steps to reduce the effect of such circumstances.
If such circumstances prevent an order from being fulfilled for a prolonged period, HQ may cancel the affected order and refund any amount paid for products that have not been supplied.
17. PERSONAL INFORMATION AND COOKIES
HQ collects and handles personal information in accordance with its Privacy Policy.
HQ’s use of cookies and similar technologies is governed by its Cookie Policy.
The Privacy Policy and Cookie Policy should be read together with these Terms but are published separately to avoid unnecessary repetition.
18. ELECTRONIC COMMUNICATIONS
You agree that HQ may communicate with you electronically through the Website or by email in connection with:

your order;
-
payment;
-
production;
-
delivery;
-
returns;
-
warranty matters; and
-
legal or service notices.
References in these Terms to “writing” or “written” communications include email.
You are responsible for providing and maintaining an accurate email address and for reviewing communications concerning your order.
19.GENERAL
These Terms, together with the relevant product page, Order Confirmation, Delivery & Returns Policy and Warranty & After-Sales Policy, constitute the agreement governing the relevant purchase.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect. A failure or delay by HQ in exercising any right does not waive that right.
Unless expressly stated otherwise, no person who is not a party to the relevant purchase contract may enforce any provision of these Terms.
20. CHANGES TO THESE TERMS
HQ may update these Terms to reflect changes in law, Website functions or business operations.
The current version will be published on this page together with its effective date.
Terms governing an accepted order will generally be those in effect when the order was placed, unless:

a change is required by applicable law; or
-
HQ and the customer agree otherwise in writing.
21. GOVERNING LAW AND INTERNATIONAL CUSTOMERS
These Terms and all orders placed through the Website are governed by the laws of Singapore.
Subject to mandatory rights that cannot lawfully be excluded, the courts of Singapore have jurisdiction over disputes arising from these Terms or an order.
22. LANGUAGE
These Terms may be made available in other languages for convenience.
To the extent permitted by applicable law, the English version will prevail if there is any inconsistency between the English version and a translation.
